Terms of service

Welcome to Lore. These terms of service (“Terms”) form a legal agreement between you and Lore Labs, Inc. (“Lore,” “we,” “us,” or “our”) and govern your access to and use of the Lore iOS app, the web app at app.uselore.ai, the marketing site at uselore.ai, and any related products and services (collectively, the “Service”). Please read them carefully. If you do not agree, do not use the Service.

1. Acceptance of terms

By creating an account, downloading the iOS app, or otherwise using the Service, you agree to these Terms and to our privacy policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old to use Lore, or the age of majority in your jurisdiction if that is higher. If you are a minor, you may only use Lore with the consent and active supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. Lore is not designed for or directed at children under 13 and we do not knowingly collect their personal information.

3. Account creation and security

To use most features you must create an account using email and password, Google, or Sign in with Apple. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately at support@uselore.ai if you suspect unauthorized access. You agree to provide accurate information and to keep it up to date.

4. Acceptable use and recording laws

Lore is a recording tool. Recording laws vary by jurisdiction, and it is your responsibility to know and follow the law wherever you use the Service. Some jurisdictions (such as California, Pennsylvania, Florida, Illinois, and Washington, along with many countries outside the United States) require the consent of all parties to a conversation. Other jurisdictions only require one-party consent. You agree that:

• You will obtain all legally required consents before recording any conversation, call, or meeting.
• You will not use Lore to record anyone without the legal authority to do so.
• You will not use Lore to record conversations in places where participants have a reasonable expectation of privacy unless you have explicit consent.
• You will not use Lore in any manner that violates wiretapping, eavesdropping, surveillance, privacy, or communications laws.
• You will not use the Service to harass, defame, stalk, surveil, or otherwise harm any individual or group.

You are solely liable for your use of Lore and for any recordings you create. Lore is a tool; you are the operator. We are not responsible for your compliance with applicable laws, and you agree to indemnify us as described in Section 11 for any claims arising from your recordings.

5. Your content and our license to process it

You retain all rights in the recordings, transcripts, notes, tasks, mindmaps, and other content you create or upload using Lore (“User Content”). Lore does not claim ownership of your User Content.

To operate the Service, you grant Lore a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for example, to transcribe, summarize, and generate derivative artifacts), transmit, and display your User Content solely for the purpose of providing, securing, and improving the Service for you. This license is limited to what is necessary to run the product and ends when you delete the content or your account, except for backups that roll off on a fixed schedule.

We do not sell your User Content. We do not use your User Content to train third-party foundation models beyond the transient inference calls required to produce the result you asked for.

6. Prohibited conduct

You agree not to:

• Use the Service in any way that violates any applicable law or regulation.
• Upload or transmit content you do not have the right to share.
• Use the Service to generate, store, or distribute content that is unlawful, harassing, defamatory, obscene, hateful, or sexually exploitative.
• Attempt to reverse engineer, decompile, or otherwise derive the source code of the Service, except to the extent such restriction is prohibited by law.
• Circumvent, disable, or interfere with security or access-control features of the Service.
• Use automated means to access the Service in a way that exceeds reasonable personal use, or to scrape, harvest, or collect data at scale.
• Impersonate any person or entity or misrepresent your affiliation with a person or entity.
• Use the Service to build a competing product or benchmark it for a competitive purpose without our written permission.
• Use the Service in a way that would subject Lore to laws or regulations outside those we have opted into.

7. Intellectual property

The Service, including all software, design, text, graphics, logos, and trademarks, is owned by Lore or its licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited license to use the Service granted by these Terms, no rights are transferred to you. “Lore,” the Lore logo, and related marks are trademarks of Lore Labs, Inc. You may not use them without our prior written permission.

8. Fees and billing

Certain features may be offered under a paid subscription. If you subscribe to a paid plan, you agree to pay the applicable fees and authorize us to charge your payment method on a recurring basis until you cancel. Fees are non-refundable except where required by law or as expressly stated in the product. We may change prices with reasonable advance notice; continued use after the change takes effect constitutes acceptance.

9. Termination

You may stop using the Service at any time and delete your account directly from the app at Settings → Danger zone → Delete account. We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, if we are required to by law, or if continuing to provide the Service to you would expose Lore or others to legal or operational risk. Sections that by their nature should survive termination (such as intellectual property, disclaimer, limitation of liability, indemnification, governing law, and dispute resolution) will survive.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LORE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES. YOU USE THE SERVICE AT YOUR OWN RISK.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LORE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. IN NO EVENT WILL LORE’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO LORE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless Lore and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any law or the rights of any third party, including recording, privacy, or wiretapping laws; or (e) any dispute between you and a third party arising from your use of the Service.

13. Governing law

These Terms and any dispute arising out of or related to them or the Service will be governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Subject to Section 14, the state and federal courts located in Delaware will have exclusive jurisdiction over any matter not subject to arbitration.

14. Arbitration and class action waiver

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service (“Dispute”) will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that you may assert claims in small-claims court if your claims qualify. The arbitration will take place in Delaware or another location the parties mutually agree to, and the arbitrator’s decision will be final and binding.

Class action waiver. You and Lore agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.

You may opt out of this arbitration agreement by emailing legal@uselore.ai within 30 days of first accepting these Terms, stating your name, address, and a clear statement that you want to opt out of arbitration.

15. Changes to these terms

We may update these Terms from time to time. When we make material changes we will notify you in the app, on the marketing site, or by email to the address on your account before the changes take effect. Continued use of the Service after an update means you accept the revised Terms. If you do not agree with the update, stop using the Service and delete your account.

16. Miscellaneous

These Terms, together with our privacy policy, make up the entire agreement between you and Lore regarding the Service and supersede any prior agreements. If any provision is held to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our written consent; we may assign them freely. These Terms do not create any agency, partnership, or joint venture between us.
